Terms of Service

1. Acceptance of terms
By accessing or using the TorqueShift platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of an organisation, you represent that you have the authority to bind that organisation. If you do not agree to these Terms, do not use the Service.
2. Service description
TorqueShift provides an enterprise contact centre AI platform that integrates with telephony systems and CRM applications to deliver real-time transcription, AI-assisted agent guidance, multilingual translation, and automated documentation. The specific features available depend on the subscription plan purchased.
3. Accounts and access
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorised use at security@torqueshift.ai. We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised.
4. Permitted use
You may use the Service only for lawful business purposes in accordance with these Terms and applicable laws. You must not: • Use the Service to process data in violation of applicable privacy laws without appropriate consent or legal basis. • Attempt to reverse-engineer, decompile, or extract the source code of the Service. • Use the Service to transmit malware, conduct denial-of-service attacks, or engage in any activity that disrupts or damages the Service. • Resell or sublicense the Service to third parties without our written consent. • Use the Service to process data of individuals under 18 years of age without verified parental consent where required by law.
5. Data and privacy
Our Privacy Policy (available at /privacy) describes how we collect and process personal data. For enterprise customers, the Data Processing Agreement (DPA) governs our processing of personal data on your behalf. The DPA is available on request and is incorporated into these Terms for customers subject to GDPR or equivalent regulations.
6. Intellectual property
TorqueShift retains all intellectual property rights in the Service, including software, algorithms, models, and documentation. You retain all rights to your customer data processed through the Service. You grant TorqueShift a limited licence to process your data solely to provide the Service. We do not use your customer data to train our AI models without your explicit written consent.
7. Service levels and availability
We target 99.9% monthly uptime for the core platform. Scheduled maintenance windows are communicated at least 48 hours in advance. Service Level Agreements with specific remedies are available in enterprise subscription agreements. Our current status and incident history are available at status.torqueshift.ai.
8. Payment and billing
Subscription fees are billed monthly or annually in advance as specified in your order. Fees are non-refundable except as required by applicable law or as specified in your subscription agreement. We reserve the right to suspend Service for accounts with overdue balances after 10 days' notice.
9. Limitation of liability
To the maximum extent permitted by applicable law, TorqueShift's total liability for any claims arising from or related to these Terms or the Service shall not exceed the fees paid by you in the 12 months preceding the claim. TorqueShift shall not be liable for indirect, incidental, special, consequential, or punitive damages, even if advised of the possibility of such damages.
10. Indemnification
You agree to indemnify and hold TorqueShift and its officers, directors, employees, and agents harmless from any claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service in violation of these Terms, your breach of any representation or warranty, or your violation of any applicable law.
11. Termination
Either party may terminate the subscription with 30 days' written notice at the end of the current billing period. TorqueShift may terminate or suspend access immediately for material breach of these Terms, non-payment, or where required by law. Upon termination, we will provide a data export for 30 days, after which customer data will be permanently deleted in accordance with our retention policy.
12. Governing law and disputes
These Terms are governed by the laws of Israel, without regard to conflict of law principles. Any disputes shall be subject to the exclusive jurisdiction of the courts of Tel Aviv, Israel, except where mandatory consumer protection laws in your jurisdiction require otherwise.
13. Changes to terms
We may update these Terms from time to time. For material changes, we will provide at least 30 days' notice by email to the account administrator. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
